The Luxembourg Common Limited Partnership (Société en Commandite Simple, SCS) is a flexible partnership structure that can be used for private equity, real estate, private debt and other alternative investment strategies, as well as investment and holding structures. It combines contractual flexibility with a separate legal personality and can be tailored to the specific requirements of its partners through its Limited Partnership Agreement (LPA).
An SCS is formed by one or more General Partners (GPs), who are generally responsible for the management of the partnership, and one or more Limited Partners. Depending on its purpose, structure and activities, an SCS may operate outside direct CSSF supervision. Where it qualifies as an Alternative Investment Fund (AIF), the applicable AIFM framework and regulatory requirements need to be considered.
